WHISTLEBLOWING: A CONSTRUCTIVE WAY TO EFFECTIVE CORPORATE GOVERNANCE

This article attempts to analyse the pivotal role played by Whistleblowers as part of the Corporate Governance mechanism. Since the advent of the 21st century, Liberalisation and Privatisation have opened the doors of the Indian Economy to the world. With this, there has been an increase in the magnitude of business and sometimes companies employ means which are of unethical and illegal nature. Whistleblowers are defined as those elements who report such wrongdoings to higher authorities due to their moral obligations to such companies. However, they often find themselves in a situation which is characterised by victimisation, humiliation and harassment at the workplace. Hence, even if such people make such disclosures in public interest, what is the status of the whistleblowers in India in light of a number of instances where such persons have met with dire consequences? This article attempts to analyse the same while also understanding the current legal framework governing it and it also gains an insight into the laws which govern other countries.
